I, the undersigned, enter into this Agreement with Heart & Soul Community Church (“Heart & Soul”). in connection with photographs and/or video footage taken as part of the Help-Portrait® project (the “Photos/Video”). I have been informed and understand that Heart & Soul may use my name, likeness, image, voice, signature, and/or appearance, and text and drawings by me, on and/or in the Photos/Video as part of its projects, including, without limitation, media publicity; website features; magazine articles; video press kits; supplemental materials for communications releases; and broadcast presentations (“Work Products”).
1. I irrevocably grant to Heart & Soul and its successors, assigns and licensees the right to use my name, likeness, image, voice, signature, appearance, and text and drawings by me, as embodied on and/or in the Work Products, including, without limitation, the Work Products whether recorded on or transferred to videotape, photographs, or other media, now known or later developed. This grant includes, without limitation, the right to modify, edit, mix or duplicate and to use or re-use the Work Products in whole or part as Help-Portrait, Inc. may elect. Heart & Soul or its designees shall have complete ownership of the Work Products in which I appear, including copyright interests, and I acknowledge that I have no interest or ownership in the Work Products or the copyright in or to the Work Products and no right to inspect or approve them.
2. I also irrevocably grant to Heart & Soul and its successors, assigns and licensees the right to use, exploit, adapt, modify, reproduce, distribute, broadcast, publish, exhibit, publicly perform, and display the Work Products, either in whole or in part, and either alone or with other products, in print, video, television, motion pictures, theater, the Internet, mobile applications, social networking websites and applications, digital downloads, streams, podcasts, and webcasts, and any other media now known or hereafter devised, for any purpose that Heart & Soul or its designees in their sole discretion may determine, including, without limitation, for promoting or publicizing any of these uses.
3. I confirm that I have the right to enter into this Agreement, that I am not restricted by any commitments to third parties, and that Heart & Soul has no financial commitment or obligation to me as a result of this Agreement. I hereby give all clearances, copyright and otherwise, for the use of my name, likeness, image, voice, signature, appearance and performance, and any text and drawings by me, on and/or in the Work Products. I expressly release and indemnify Heart & Soul and its parents, subsidiaries, affiliates, officers, shareholders, members, directors, employees, successors, assigns, licensees, representatives, insurers, and agents from and against any and all claims, losses, damages, expenses and costs, including attorneys’ fees, known and unknown, arising out of or in any way connected with the above granted uses and representations. The rights granted to Heart & Soul herein are perpetual and worldwide.
